These Terms of Service ("Terms") govern your access to and use of the Estate Executor Status Tracker ("Service"), operated by [Your Company Legal Name], a North Carolina [LLC/Corporation] ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

The Service is a web-based document compliance tracker for probate attorneys and estate executors. Attorneys create cases and monitor document submissions. Executors upload required probate documents via secure magic links. The Service tracks document submission status against a fixed checklist. The Service does not provide legal advice, does not interpret the law, does not draft legal documents, and does not interact with any court system.

2. Eligibility and Accounts

The Service is intended for use by licensed attorneys and individuals designated as executors of an estate. Attorneys access the Service via email-based magic-link authentication. Executors access the Service via magic links provided by their attorney. No passwords are created or stored. You are responsible for maintaining the security of the email account associated with your use of the Service.

3. Subscription and Payment

Attorney access requires a paid subscription managed through Stripe. Subscription tiers, pricing, and case limits are displayed on the billing page. All fees are billed in advance (monthly or annually) and are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice. Executors are never charged.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload files containing malware, viruses, or malicious content; (c) attempt to gain unauthorized access to any part of the Service, other users' accounts, or other systems connected to the Service; (d) interfere with or disrupt the Service or servers; (e) use automated means (bots, scrapers, scripts) to access the Service without prior written consent; (f) impersonate any person or entity; (g) upload content that infringes the intellectual property rights of any third party.

5. Data Ownership

You retain all right, title, and interest in all data you upload to the Service ("Your Data"). We do not claim ownership of Your Data. We do not sell, share, license, or otherwise distribute Your Data to any third party. We do not use Your Data to train artificial intelligence or machine learning models. We access Your Data only as necessary to provide the Service, perform backups, and comply with applicable law.

6. License to Provide the Service

By uploading data to the Service, you grant us a limited, non-exclusive license to store, process, display, and transmit Your Data solely for the purpose of providing the Service to you. This license terminates when your data is deleted from our systems.

7. Confidentiality

We understand that the documents uploaded to the Service are sensitive legal documents. We treat all uploaded documents and case information as confidential. Access to case data is restricted to the attorney who created the case and the executor linked to that case. One attorney cannot access another attorney's cases under any circumstances.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. THE SERVICE IS A DOCUMENT TRACKING TOOL — IT DOES NOT CONSTITUTE LEGAL ADVICE AND SHOULD NOT BE RELIED UPON AS SUCH.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; (d) any content you upload to the Service.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. You may cancel your subscription at any time through the billing page. Upon termination, your right to access the Service ceases. We will retain Your Data for 30 days following termination to allow you to request an export. After 30 days, Your Data will be permanently deleted from our systems.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the email address associated with your account at least 30 days before they take effect. Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the modifications.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration administered in Wake County, North Carolina, in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. You may opt out of this arbitration provision by sending written notice to [Your Company Address] within 30 days of first accessing the Service.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any subscription terms displayed on the billing page, constitute the entire agreement between you and the Company regarding the Service.
